Hmm...This should be...the longest ive ever worked on a flash...and also the most spaced out one ive done xDas in... do a little stop....do a little ... stop... etc.
usually i like storming through everything within the week xD

convert the picture into a symbol and click properties on the bottom. select alpha, and the percentage u want (transparency)
then just do a tween on that
like...Alpha100% tween to alpha 0%
