A robot. Neyla had been reduced to an A.I. when she entered Clockwerk (hence how she could control the robot's mind). Penelope obtained her 'personality' and put it into a mechanical body. Whether or not this entity is really Neyla or just a copy of her is uncertain.

Penelope receives it from her boss who downloaded it remotely before Clock-la was destroyed. It wasn't easy as A.I.'s are a heck of a lot of data, but he had futuristic equipment capable of handling it.
