Like the card, but I think the Ninjutsu cost could be a bit lower... Maybe 3 blue, one colorless? I doubt it would be to powerful, but would make him more interesting, since a 3/5 that has to connect to have any effect is more a 4-drop than a 5-drop.

Human ninjas are blue. Rat ninjas are black. At best, Zed could be blue/black, but I'm just going by the MTG universe.

Black doesn't make sense for the card's mechanics or the flavor of the character.
I would have made him part white to represent his utter neutrality and dedication to preserving the balance on Valoran, but ninjas are strictly blue and/or black.

I'm very glad you used shroud. It works just as good and I think to many cards use hexproof nowadays.

Not to mention there's only 3 blue cards with hexproof, it's more green's thing

Hexproof is more aligned with green than blue so I figured I'd go with that.
